Terms of Service

These terms cover use of the Manualworks platform: what you may upload, who owns what, and the limits of what a generated manual is for. Read them alongside the Privacy Policy and, for business subscriptions, the Master Subscription Agreement.
These terms form an agreement
These Terms of Service govern your access to and use of the Manualworks platform, website and related services. By creating an account, requesting a demonstration, or using the platform, you agree to be bound by them.
If you accept these terms on behalf of a company or another legal entity, you confirm that you have authority to bind that entity, and "you" refers to that entity.
What the platform does
Manualworks reads documentation you supply — vendor manuals, specification sheets, bills of materials and process information — and assembles a draft machine maintenance manual from it, with each statement traced back to a source document.
The platform is a documentation tool. It does not certify machinery, approve a machine for service, or replace the judgement of a qualified engineer or technician.
Accounts and access
- You must provide accurate account details and keep your credentials confidential.
- You are responsible for activity under your account, including activity by colleagues you invite.
- Access is granted per user. You may not share logins or resell access without a written agreement with us.
- You must be at least 18 and using the platform for business purposes.
Your content stays yours
You retain all rights, title and interest in the documents you upload and the data you enter. We claim no ownership of your content.
You grant us a limited, non-exclusive licence to store, process, transmit and display your content solely to operate and support the platform for you — for example, extracting information from a manual you uploaded so it can appear in your assembled documentation.
Rights in the documents you upload
Vendor manuals, specification sheets and drawings are frequently protected by copyright and are often subject to confidentiality obligations owed to the vendor or the end customer.
You are solely responsible for ensuring you have the right to upload each document and to use it in the ways the platform does. You must not upload material you are not permitted to use, and you must not use the platform to redistribute a vendor’s documentation to third parties.
You agree to indemnify us against claims arising from documents you upload or content you submit in breach of this section.
Generated output is a draft, not certified documentation
Assembled manuals are generated from your sources and may be incomplete, out of date, or contain errors introduced by automated extraction. Where your sources do not cover a topic, the platform says so explicitly rather than inventing content.
You are responsible for reviewing every assembled manual against the original source documents and having it approved by a competent person before it is issued, published or used to service machinery.
You must not present generated output as vendor-approved, certified or regulatory-compliant documentation unless you have separately obtained that approval.
Acceptable use
- Do not attempt to access another customer’s workspace, data or documents.
- Do not probe, scan or breach the platform’s security or authentication.
- Do not reverse engineer, scrape or copy the platform, its prompts, extraction rules or assembly logic.
- Do not use the platform to build a competing product or to process material you are not entitled to process.
- Do not upload malware, or content that is unlawful, defamatory or infringing.
Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform under these terms. This covers your machine data, drawings and process information, and covers our platform internals, pricing and roadmap.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, was already known without a duty of confidence, or is independently developed. Disclosure required by law is permitted with notice to the other party where lawful.
Fees and subscription terms
Paid access is governed by the Master Subscription Agreement, together with the order form or plan you select. If there is a conflict between these terms and a signed agreement, the signed agreement controls.
Our intellectual property
The platform, its software, design, extraction and assembly logic, documentation and branding are owned by us and protected by copyright, trade secret and other laws. No rights are granted except the limited right to use the platform during your subscription.
"Manualworks" and its logo are our marks. You may not use them without written permission.
Availability and changes
We work to keep the platform available and may perform maintenance, update features, or change the platform over time. We are not liable for interruptions outside our reasonable control.
Disclaimers
The platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that generated output is accurate, complete or suitable for any particular machine, site, regulation or safety purpose.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production or business interruption.
Our total aggregate liability arising out of or relating to these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or wilful misconduct.
Termination
You may stop using the platform at any time. We may suspend or terminate access if you breach these terms, if required by law, or if your account is used in a way that risks harm to other customers or to us. On termination your right to use the platform ends; you may export your content as described in the Privacy Policy.
Governing law
These terms are governed by the laws of the jurisdiction stated in your signed agreement, or absent one, the jurisdiction in which we are established, without regard to conflict-of-law rules. The parties will attempt good-faith resolution before commencing proceedings.
